These Terms and Conditions (the “Terms”) govern your access to and use of the website, applications, and services (the “Service”) provided by Evergreen Digital LLC (“Evergreen”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 16 years old to use the Service. When you create an account, you agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

2. License to use the Service

Subject to these Terms and any applicable plan limits, Evergreen grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

3. Acceptable use

You agree not to:

  • Use the Service to crawl, analyze, or store data from websites you do not own or are not authorized to access.
  • Circumvent rate limits, robots.txt directives, or any security or access controls.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to distribute malware, spam, or infringing content.
  • Resell or sublicense the Service without our prior written consent.
  • Violate any applicable law, regulation, or third-party right.

4. Your content and data

You retain all rights to the URLs, configurations, analytics data, and other content you submit to the Service (“Customer Data”). You grant Evergreen a worldwide, non-exclusive license to host, process, and display Customer Data solely as needed to operate and improve the Service. You represent that you have the rights necessary to submit Customer Data and to authorize our processing of it.

5. Third-party integrations

The Service integrates with third-party services such as Google Analytics 4 and Google Search Console. Your use of those integrations is subject to the respective third party’s terms. Evergreen is not responsible for third-party services and may modify or remove integrations at any time.

6. Fees and billing

Paid plans are billed in advance on a recurring basis. Fees are non-refundable except as required by law or expressly stated. We may change pricing by giving you at least 30 days’ notice before the start of your next billing cycle. Failure to pay may result in suspension or termination.

7. Intellectual property

The Service, including all software, designs, trademarks, and documentation, is owned by Evergreen or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership of the Service to you.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or create risk for Evergreen or other users. Upon termination, your right to access the Service ends, and we may delete Customer Data after a reasonable retention period.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EVERGREEN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERGREEN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID EVERGREEN IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold Evergreen harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date and, where appropriate, by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
